1. Scope

These terms apply to all services provided by Lydonex UG (haftungsbeschränkt), Kohlgartenstraße 11, 04315 Leipzig, Germany ("Lydonex") to business customers within the meaning of § 14 of the German Civil Code (BGB). They are not directed at consumers.

2. Services and conclusion of contract

Lydonex provides performance-marketing services (including Google Ads, Meta Ads, TikTok Ads, SEO, email marketing, tracking) according to the agreed package or individual offer. A contract is concluded by mutual confirmation in text form (e.g. email) or by acceptance of a written offer. The package descriptions on this website define the scope of services.

3. Prices and payment

The agreed fixed monthly fee applies, plus statutory VAT. Invoicing takes place monthly in advance. Payment is made in euros by bank transfer or via a payment link provided with the invoice. Unless agreed otherwise, invoices are due within 14 days without deduction.

4. Ad budget

Advertising budgets are not included in the fixed fee. They are paid by the customer directly to the respective advertising platform (e.g. Google, Meta, TikTok) and run through the customer's own accounts.

5. Term and cancellation

Contracts for the "Start" and "Scale" packages run for an indefinite period and can be cancelled by either party in text form with effect from the end of the current calendar month. Switching packages is possible at the turn of the month. Individual agreements are governed by their own provisions.

6. Customer cooperation

The customer provides the access, approvals and materials required for the services (e.g. ad accounts, website access, brand assets) in good time. Delays caused by missing cooperation are not attributable to Lydonex.

7. Accounts and data

Ad accounts, pixels, audiences and campaign data are managed in the customer's own accounts and remain the customer's property — including after the end of the contract.

8. Liability and results

Lydonex performs its services with the greatest care but does not owe any specific commercial result (e.g. revenue, rankings, conversion rates); decisions of the advertising platforms are outside Lydonex's control. Lydonex is liable without limitation for intent and gross negligence and for injury to life, body or health. In cases of slight negligence, Lydonex is liable only for the breach of essential contractual obligations, limited to the foreseeable damage typical for this type of contract.

9. Final provisions

The law of the Federal Republic of Germany applies. The place of jurisdiction is Leipzig. Should individual provisions be invalid, the remainder of the contract remains in effect.
